Standard Chartered Signs Definitive Deal to Acquire Zodia Custody

Standard Chartered signed definitive agreements on Wednesday, October 21, 2026 to acquire 100 percent of Zodia Custody Limited, the parent of regulated digital-asset custody entities in Singapore, Hong Kong, Australia, the United Arab Emirates, and Luxembourg. The bank’s own release and a same-day The Block wrap say the deal follows acceptance of a non-binding offer and still needs regulatory approvals plus customary closing conditions. Financial terms were not disclosed. This is a Stablecoin Settlement Desk custody-rails chapter — who safekeeps institutional crypto and stablecoin inventories as banks fold specialist custodians in-house.

Post-completion, Zodia’s regulated custody book is slated to integrate into Standard Chartered’s Securities Services digital-asset custody activities, consolidating the Group’s institutional offering across traditional and digital securities services. Separately, Zodia’s software and professional-services assets move to Zodia Solutions, a new independent entity under SC Ventures. Bank investors named around Solutions include NAB Ventures, Northern Trust, SBI Ventures, Further Ventures (Q Studio), Emirates NBD, Investcorp (Zodia Investments), and SC Ventures’ Zodia Holdings. Standard Chartered says it will remain among Solutions’ customers. Existing Zodia custody clients are told to expect no service disruption.

Ying Ying Tan, Global Head of Securities Services and Digital Assets, cast the buy as deepening institutional-grade custody behind a cross-border bank’s connectivity. Zodia Custody CEO Richard Clark (who took over after Julian Sawyer stepped down in September, per The Block) framed custody as moving into the global banking landscape. Zodia Solutions CEO Craig Perrin pitched bank-grade tech for institutions scaling past pilots. Backdrop from The Block: non-binding acceptance in May, earlier targets for definitive papers by end-June and completion by end-August slipped; Standard Chartered also flagged plans this month to launch crypto custody in Singapore by end-2026; Zodia won a Luxembourg payment-institution license in June for regulated stablecoin custody and transfer across the EU.

For NFT and marketplace desks, the cut is institutional safekeeping of the dollars and coins that clear bids — not a new OpenSea fee rule. When a bank absorbs a multi-jurisdiction custodian that already holds a Luxembourg path for stablecoin custody and transfer, settlement risk migrates toward balance-sheet banking rails rather than standalone crypto shops. Treat today’s chapter as a signing, not a close: approvals can still reshape timing, and no AUM, fee schedule, or Singapore go-live date for the combined book was published with the definitive papers.

Do not confuse Zodia Solutions (software under SC Ventures) with the custody entities Standard Chartered is buying. Collectors and desks watching Phygital vault partners should note the bank’s “no disruption” claim for current clients while watching whether any white-label custody brands rebadge under Standard Chartered Securities Services after close.

Settlement watch: Watch regulatory clearance in the named licensing hubs, whether Luxembourg stablecoin custody/transfer permissions survive the fold intact, and whether Standard Chartered’s end-2026 Singapore custody plan posts a concrete launch date — signing papers is not the same as a live consolidated custody book.

Bottom line: Standard Chartered signed definitive papers to buy Zodia Custody into Securities Services while spinning software into Zodia Solutions — institutional custody consolidation is under contract, not yet closed.
