Strategy Stockholders Approve Daily Dividends for STRF, STRC, STRK, and STRD Preferreds

Strategy Inc. (NASDAQ: MSTR) said stockholders approved amended and restated certificates of designations for its four U.S.-listed perpetual preferred series — STRF (10% Strife), STRC (variable-rate Stretch), STRK (8% Strike), and STRD (10% Stride) — to permit daily dividends, according to an October 28 Form 8-K and company press note. Preliminary results show about 381.4 million votes for (63.69% of voting power entitled to vote), 2.23 million against, and 444,752 abstentions, with a quorum present at the virtual special meeting.

The schedule change is still subject to filing and effectiveness of those amended certificates. Under the new cadence, STRC is set for daily record dates starting November 1, 2026, with the first daily payment expected November 2 if the papers are effective by 12:01 a.m. ET that day; STRF, STRK, and STRD are slated to shift on January 1, 2027, with first daily payments expected January 4. Annualized dividend rates are unchanged — only payment frequency moves from semi-monthly (STRC) or quarterly (STRF/STRK/STRD) to every calendar day, paid the next business day.

CEO Phong Le told the meeting there should be no Stretch payment gap into mid-November because dividends are paid in arrears: the period covering October 16–31 was already declared payable October 31 to October 15 record holders. For November 1–15, Strategy conditionally declared both semi-monthly and daily structures, with only one applying once effectiveness is clear. If daily papers are not effective by the November 1 cutoff, the prior semi-monthly path through November 15 remains the fallback — “dividend coverage will continue uninterrupted with no gaps,” Le said, per MarketBeat’s meeting wrap.

DTC and Nasdaq mechanics still matter for weekend and holiday stacks. The 8-K says DTC treats weekend/holiday record dates as the prior DTC business day, so multiple calendar-day dividends can share one Nasdaq ex-date and one payment date — Strategy’s example groups November 6–8 onto Friday November 6 for record/ex and pays all three on Monday November 9. Under T+1, a Friday buy would miss that stack while a Friday sale would still receive it. Broker policies can differ; prefer the filed mechanics over social claims of “instant daily cash” on every calendar day for every venue.

Executive Chairman Michael Saylor framed the vote around Strategy’s Bitcoin treasury and Digital Credit preferred platform rather than a change in bitcoin buy policy. Keep that labeled against prior chapters: the October 26 pause / Strive buy print and the $3B Digital Credit buyback lift are separate capital-allocation beats — today’s primary is preferred dividend cadence approval, not a new BTC purchase size.

Keep adjacent desks labeled. Ondo’s Robinhood Chain stock-token pools are an RWA product chapter. Binance’s Brazil SPSAV filing is Plain English Policy. Digital Humans’ OpenSea fade is Marketplace Watch. Tonight’s story is Strategy’s shareholder-approved daily-dividend amendment for four perpetual preferreds tied to its bitcoin-backed credit stack.

Utility check: Watch whether Strategy files the amended certificates in time for STRC daily record dates to start November 1 (first pay November 2) — if effectiveness slips, Stretch stays on the semi-monthly path through mid-November while STRF/STRK/STRD still wait on the January 1, 2027 daily switch.

Bottom line: Strategy stockholders approved daily dividends for STRF, STRC, STRK, and STRD, with STRC aimed at a November 1 daily start and the other three at January 1, 2027, subject to the amended certificates taking effect.
